Evaluation Software Licence Agreement
By completing and submitting this Customer Registration Form, you are agreeing to the licence terms below; in return, on issuance of a password to download the software, you are granted a licence to use the Polyhedra software for evaluation purposes only. The software may only be installed and used on a single machine at a time.
The licence is valid for a period of 30 days from the time the form is submitted, after which time you must contact Enea AB or one of its dealers if you wish to make continued use of the software.
You may not sub-licence, sell, lease or in any way transfer the licenced software or its supporting material (such as manuals, demonstrations and training material), in whole or in part, to others. You agree that you will not reverse engineer or in any way decode the licenced software to either bypass or defeat any protection mechanisms for preventing unauthorised uses of the licenced software, or to derive from it any source code form. Title to and ownership of the licenced software, and all copies thereof, and all documentation related thereto, shall remain at all times with Polyhedra Ltd.
DISCLAIMER OF WARRANTY AND LIABILITY. The licenced software and the supporting material are provided 'as is', 'where is'. Neither Enea AB, Polyhedra Ltd nor their dealers may make any representations or warranties, express or implied, of any kind, including, but not limited to, any implied warranty of merchantability or fitness for a particular purpose. Neither Enea AB, Polyhedra Ltd nor their dealers warrant or represent that the functions contained in the licenced software will meet your requirements or will operate in the combinations selected by you or that the operation of the Licenced Software will be error free. In no event shall Enea AB, Polyhedra Ltd or their dealers be liable for the incidental, indirect, special or consequential damages whatsoever (including, but not limited to, loss profits or interruption of business) arising out of or relating to this software licence, or the use of the licenced software and supporting material, or for any claim by the other party. Enea AB, Polyhedra Ltd and/or their dealers', liability arising out of contract, negligence or strict liability in tort shall not exceed any fees paid by you for the licenced Software
General. This agreement shall be construed and enforced in accordance with the laws of England and Wales and interpreted by the English courts. In the event of legal action brought by either party to enforce this agreement, the prevailing party shall be entitled to recover reasonable attorney fees and costs. In the event that any provision of this agreement is deemed invalid or unenforceable under any application status or rule of law, it is to that extent to be deemed omitted, and the remainder of this agreement shall remain in effect. This agreement constitutes the entire agreement between the parties and supersedes prior oral or written agreements, proposals or communications between the parties relating to the licenced Software and supporting material.
